Spain's market regulator CNMV on 22 July 2026 approved the delisting tender offer by Portugal's Bondalti (the chemicals arm of the José de Mello group) for the remaining 22.77% of chemicals maker Ercros, after Bondalti had already acquired 77.23% via a first takeover bid in March. The offer price remains €3.505 per share and the acceptance period runs for 49 days; Ercros is then to be delisted from the Barcelona, Madrid, Bilbao and Valencia exchanges. Second source: El Conciso. UPDATE (24 July 2026): The acceptance period for the delisting offer has begun and runs until 10 September 2026. Update (16 Sep 2026): Bondalti has completed the delisting offer. According to the CNMV, 7.88 million shares, or 8.62% of share capital, were tendered — equivalent to 37.23% of the shares that had not accepted the first offer. Bondalti's stake therefore rises from 77.23% to 85.85%. Settlement was scheduled for 21 September 2026 and trading in Ercros shares is expected to end on 23 September 2026; shareholders who did not tender retain their holdings in what will then be an unlisted company. (Source: CNMV via pressdigital.es, 16 Sep 2026) Update (22 Sep 2026): The delisting has been completed — BME Markets & Exchanges removed 91.4 million Ercros shares from trading on the Madrid stock exchange as of Tuesday 22 September 2026 (nominal value €0.30 each, €22.3m of share capital in total). The basis is a CNMV decision of 18 September 2026; trading therefore ended one day earlier than previously announced (source: pressdigital.es, 22 Sep 2026).
