Clerbil, the investment vehicle of José Antonio Jainaga (chairman of Sidenor and Talgo), announced a voluntary takeover bid on 24 July 2026 for all shares in the Navarre-based industrial technology group Azkoyen — €10 per share in cash, €244m in total. Clerbil is acting together with the existing partners in the Basque industrial holding Ohmnia (Carmen Lequerica Holding, the Instituto Vasco de Finanzas as the Basque government's vehicle, and Fundación Bancaria Vital), joined now by Fundación BBK and Indar Kartera, Kutxabank's investment vehicle. Azkoyen manufactures vending machines and payment systems among other products. The bid requires clearance from the securities regulator CNMV. Update (7 Sep 2026): Germany's Bundeskartellamt cleared the takeover unconditionally on 7 September 2026, finding that the grounds for prohibition were not met. In Spain, both competition clearance from the CNMC and final authorisation of the offer document by the securities regulator CNMV remain outstanding (OKDiario Navarra, 9 Sep 2026). Update (28.09.2026): Spain's competition authority CNMC has approved Ohmnia's takeover bid for Azkoyen; final authorisation by securities regulator CNMV, which starts the acceptance period, is still pending (El Español/Invertia, 28.09.2026).
