CureVac shareholders voted with over 99% in favour of the takeover by BioNTech. The exchange offer runs until 3 December 2025, with CureVac shares being exchanged for BioNTech ADS. Antitrust approval is in place. CureVac will be delisted and integrated into BioNTech. The open legal dispute with Pfizer/BioNTech was suspended. Update (18.12.2025): BioNTech closed its acquisition of CureVac on 18.12.2025; the compulsory acquisition of the remaining shares and the end of trading in CureVac shares were scheduled for January 2026 as part of the post-offer reorganisation (BioNTech press release via BioSpace, 18.12.2025).
