Uber and Delivery Hero signed a business combination agreement on 16 July 2026: Uber offers €41.50 per share in cash (a premium of around 127% over the unaffected price before 8 May); Prosus (~17%) has irrevocably committed to tender, which would bring Uber to about 53%. To address antitrust concerns, Delivery Hero is separately selling businesses in 14 markets (including Austria and Spain) to SSW Partners. Closing is expected in H2 2027; Berlin remains headquarters with workforce commitments until at least 2029, and Uber pledges €2bn of investment in Germany over five years. Follow-up to the stake increase of 5 July. Second source: Uber press release (SEC 8-K, Exhibit 99.1). Update (03.09.2026): In their joint reasoned statement, Delivery Hero's management and supervisory boards recommend that shareholders accept Uber's offer of €41.50 per share, which they consider fair; the acceptance period ends on 05.11.2026 (dpa-AFX).
