European Commission clears Henkel's €2.1bn acquisition of Dutch coatings specialist Stahl

Clearance under the simplified procedure (case M.12372): given limited overlaps in industrial coatings and adhesives, the Commission found no competition concerns. This removes the regulatory hurdle for the purchase agreed in February 2026; Stahl generated around €725m in adjusted sales in 2025 and employs about 1,700 people.

On 23 Sep 2026 the European Commission approved the acquisition of sole control of Dutch Stahl Parent B.V. by Henkel AG & Co. KGaA, finding the merger would have only a limited impact on competition in the markets where the two companies are active. Henkel agreed on 4 Feb 2026 to buy the leather and industrial coatings specialist for €2.1bn; no closing date has been given yet (Brussels Times, 23 Sep 2026; Henkel press release, 4 Feb 2026).
