The Norwegian fingerprint-sensor maker says it can no longer assume it will continue as a going concern after its financing fell through and the sale of its legacy business did not materialise. The board is preparing a bankruptcy petition that it intends to file with the competent district court on 12 October 2026. Annual operating costs had previously been cut from about NOK 73m to about NOK 41m, and the company says it will keep assessing alternatives until the filing. The release gives no figure for affected staff (NEXT Biometrics, Oslo Børs filing, 9 Oct 2026). Update (13 Oct 2026): On 12 Oct 2026 the board resolved that the parent and its subsidiary NEXT Biometrics AS file for bankruptcy; the petitions go to Oslo District Court and a trustee will be appointed, as no new financing materialised (NEXT Biometrics, Oslo Børs filing, 12 Oct 2026). — Sources: https://newsweb.oslobors.no/message/683850 · https://www.biometricupdate.com/202610/next-biometrics-to-file-for-bankruptcy · https://newsweb.oslobors.no/message/683958

🤝 Schneider Electric to acquire Bulgarian Shelly Group (Bulgaria / France)

On 24 September 2026 Schneider Electric announced a cash offer of €70 per share for Bulgarian smart home and IoT maker Shelly Group; the deal values Shelly at around €1.2bn excluding debt, a 27% premium to the unaffected reference price. The founders back the deal; completion depends on, among other things, a minimum acceptance level and regulatory approvals. This firms up the preliminary talks reported on 29 July 2026 (entry 53f7bc81) (heise online, 24 Sep 2026; Handelsblatt, 24 Sep 2026). Update (28.09.2026): Schneider's subsidiary SE 2026 A SAS has registered the €70-per-share offer with Bulgaria's Financial Supervision Commission (FSC); the minimum acceptance threshold is 95%, and the acceptance period will only start once the FSC has approved and the offer has been published (Shelly Group ad hoc release, 28.09.2026). Update (05.10.2026): Shelly Group's board of directors considers the €70-per-share offer adequate in its reasoned statement, relying on a fairness opinion from Freitag & Co.; in the investment agreement Schneider committed, among other things, to preserving management, locations, employment levels and core brands for a set period (Shelly Group, ad hoc announcement, 05.10.2026). Update (23 October 2026): the Bulgarian Financial Supervision Commission (FSC) completed its preliminary review of the offer on 22 October 2026 and asked for additions to the offer document, for which the bidder has 20 business days; the price is not affected. The acceptance period will begin only once the amended document is approved (Shelly Group, EQS release, 23 October 2026). — Sources: https://www.heise.de/en/news/Smart-Home-Schneider-Electric-takes-over-Shelly-Group-11464299.html · https://www.finanznachrichten.de/nachrichten-2026-10/69759497-eqs-adhoc-shelly-group-se-verwaltungsrat-mit-positiver-stellungnahme-zum-registrierten-freiwilligen-oeffentlichen-erwerbsangebot-der-schneider-electr-022.htm · https://live.deutsche-boerse.com/news/EQS-News-Bulgarian-Financial-Supervision-Commission-completes-preliminary-review-of-the-voluntary-public-takeover-offer-for-Shelly-Group-SE-0f8f4c93-26a0-40e3-aecd-5b382c5d4181

Singapore-based chipmaker Silicon Box is building its first European plant in Novara (Piedmont) for chiplet integration, advanced packaging and semiconductor testing for AI and HPC applications; total investment €3.2bn, including €1.3bn in Italian state support, and around 1,600 direct jobs. At a meeting with regional president Alberto Cirio and mayor Alessandro Canelli in Novara on 18 Sept 2026, industry minister Adolfo Urso announced that Invitalia's decision allocating the funding would come by the end of the month ("Entro la fine del mese, questo percorso si concretizzerà con la delibera di Invitalia per l'assegnazione del finanziamento"). The development agreement (Accordo di sviluppo) had already been signed at the ministry in March 2026; construction is due to start in spring 2027 (Corriere di Novara, 18 Sept 2026; Newsnovara, 19 Sept 2026). Update (01.10.2026): Invitalia's board approved the project ("Progetto Vulcan") together with €1.3bn in public support under the European Chips Act framework; the project documents are to be submitted by the end of 2026, after which a single authorisation (autorizzazione unica) is required, with construction scheduled to start in spring 2027 (Piedmont Region). — Sources: https://corrieredinovara.it/economia/silicon-box-il-ministro-urso-a-novara-entro-fine-mese-la-delibera-di-invitalia-per-lassegnazione-del-finanziamento/ · https://www.regione.piemonte.it/web/pinforma/notizie/microchip-via-libera-invitalia-al-finanziamento-per-progetto-silicon-box-novara

Neither NXP nor Ambarella has confirmed the talks, and a deal is explicitly not certain — other bidders could emerge or the discussions could fall through. Ambarella has a market value of around $3.3bn; its shares rose about 19% on the report while NXP's fell more than 3%.

Follow-up to the mandatory offer of 29 June 2026: on 30 July 2026 Kontron announced the result of the closed acceptance period. A total of 12,289,840 shares were tendered, an acceptance rate of around 19.5%. After completion of the transaction ENNOCONN will not hold a majority of the voting rights in Kontron — the management and supervisory boards had expressly recommended against accepting the offer. At the same time a foreign direct investment (FDI) review was opened at the German Federal Ministry for Economic Affairs and Energy under the Foreign Trade and Payments Act, examining whether the acquisition affects Germany's security or public order. According to the company the duration of that procedure cannot be reliably estimated; since shareholders retain withdrawal rights until all regulatory approvals are in place, the final stake may still change. Update (10 August 2026): Kontron reported that all offer conditions have been met — Germany's foreign investment (FDI) clearance has been granted, considerably earlier than Kontron had previously thought possible. According to ENNOCONN the offer will settle on 20 August 2026; there has been no material shift in the shares tendered. Before settlement ENNOCONN holds 48.36% of Kontron shares per its shareholding notification and will not hold a majority of the voting rights after completion either. No further increase in the stake is planned; Kontron remains independent and intends to deepen its cooperation with Foxconn/ENNOCONN to realise EUR 40m in synergies over the medium term. Update (24 August 2026): The mandatory offer settled on 20 August 2026; according to finanztrends.de 12,238,502 Kontron shares were transferred to ENNOCONN. ENNOCONN thus holds about 48.36% and no voting majority; the process is complete and no further stake increase has been announced. — Source: https://www.onvista.de/news/2026/07-30-eqs-news-kontron-ag-annahmefrist-fuer-das-pflichtangebot-ist-beendet-einleitung-eines-fdi-ueberpruefungsverfahrens-keine-mehrheit-fuer-ennoconn-0-37-26537892

Background: cloud computing giants (Microsoft, Amazon, Alphabet) and semiconductor manufacturers (TSMC, Samsung) are massively increasing investments in capacity for AI chips due to supply bottlenecks for memory and AI accelerator chips. CEO Christophe Fouquet: 'Customers share a significantly more positive market assessment for the medium term, especially due to more robust AI demand assumptions.'
