Holding company SRI Global Limited — 52% controlled by Giulio Gallazzi, with Bernardo Vacchi's Finvacchi holding 48% — submitted a non-binding expression of interest on 4 August 2026 to the board and the court-appointed commissioners (Commissari Giudiziali) of shipyard group The Italian Sea Group (brands Admiral, Tecnomar, Perini Navi, Picchiotti) for the acquisition of the business complex; TISG is in insolvency protection proceedings. For 2025 the group had reported a 27% revenue slump to around €295m, EBITDA of −€99m (previous year +€70m) and a net loss of €170.9m. The offer competes with the interest of Sanlorenzo within the 'Polo Nautico Carrara', which became known on 27 July 2026. Second source: Il Sole 24 Ore. Update (5 Aug 2026): Rival bidder Sanlorenzo formalised its interest: through the consortium vehicle 'Polo Nautico Carrara' (45% Sanlorenzo, 45% Polo Nautico Viareggio) it filed a binding, irrevocable purchase offer with a deposit for the entire group perimeter with the board and the insolvency officials. Effectiveness remains conditional on successful due diligence and the outcome of the bidding procedure. Update (10 Aug 2026): The individual expressions of interest have turned into a formal competitive bidding process. Non-binding offers are due by 15 September 2026 and binding offers by 15 October 2026, with signing envisaged for 26 October 2026. Alongside 'Polo Nautico Carrara' (Sanlorenzo) and SRI Global, Forbes Italia also names Azimut Benetti and Ferretti as interested parties. The share rose 15% on the announcement; over six months it remains down about 70%. Update (15 September 2026): Eleven non-binding offers (asset-deal and equity-deal structures) were received by the deadline; the advisors are now selecting the bidders for the second phase with in-depth due diligence, and binding offers are expected by 15 October 2026. The identity and content of the offers remain confidential (Teleborsa, 15 September 2026). — Source: https://www.teleborsa.it/News/2026/08/04/tisg-sri-global-e-finvacchi-presentano-manifestazione-di-interesse-per-l-acquisizione-57.html

🤝 MPS board rejects Intesa Sanpaolo's takeover offer (Italy)

About six weeks after Intesa Sanpaolo launched its public exchange and purchase offer (OPAS) for Banca Monte dei Paschi di Siena, the MPS board issued a negative opinion on 17 July 2026: the offer, valued at €30.6bn — around €3bn of it in cash and the remainder in shares — was not fully consistent with market valuations or with the bank's profile. The board also pointed to uncertainties in the structure, doubts about the synergies the bidder projects, and the envisaged transfer of an MPS stake to Unipol, which it considers disadvantageous industrially and for the bank's identity. At the same time, without taking a final decision, the board deemed the competing combination proposal from Banco BPM worth examining in depth, because it would not break up the branch network, the business or the historic brand. According to reporting by Milano Finanza on 24 July 2026, MPS and Banco BPM could announce an attempted merger in early August, with the stance of both banks' large shareholders being decisive (https://www.milanofinanza.it/news/mps-banco-bpm-ecco-i-piani-di-lovaglio-e-castagna-per-evitare-l-opas-di-intesa-sanpaolo-202607242029054158). No official merger agreement exists. UPDATE (31 July 2026): The board of Banco BPM unanimously decided to break off merger talks with MPS, saying the conditions for an agreement were not there after no rapprochement had emerged since BPM's letter of 7 June 2026; major shareholder Crédit Agricole (29.3 %) had previously voiced scepticism. Intesa Sanpaolo thus remains the only active bidder for MPS. Update (2 August 2026): Intesa Sanpaolo has called an extraordinary general meeting for 10 September 2026 to approve the capital increase backing the OPAS. The offer values MPS shares at EUR 10.091 each (1.6 Intesa shares plus EUR 1 in cash per MPS share); Intesa CEO Carlo Messina told CNBC Europe he intends to complete the transaction whatever it takes (source: Il Messaggero). Update (5 Oct 2026): On 03.10.2026 Intesa raised its offer to EUR 1.25 in cash per MPS share (share exchange unchanged at 1.6 Intesa shares) and Delfin (17.6%) committed its entire stake (Forbes Italia, 05.10.2026). Update (29 Oct 2026): MPS's extraordinary shareholder meeting rejected both exchange offers (Banco BPM: about 91% against; Banca Generali: about 91% against), the capital reduction for the €4bn special distribution and the merger with Mediobanca (63.6% against; a two-thirds majority was required), clearing the meeting-level obstacle for Intesa's OPAS; regulatory approvals and the acceptance level are still pending (ANSA). — Sources: https://www.borsainside.com/mercati_italiani/azioni-mps-cda-boccia-opas-intesa-e-apre-banco-bpm-cosa-puo-cambiare-ora/ · https://forbes.it/2026/10/05/intesa-rilancio-opas-mps-delfin-assemblea-29-ottobre · https://www.ansa.it/sito/notizie/economia/2026/10/29/i-soci-di-mps-bocciano-le-offerte-su-banca-generali-e-bpm_5c1a02b1-a853-4f2d-9db9-75c37a981ec4.html

The roughly 12 km double-track section between Pistoia and Montecatini Terme on the Florence–Pistoia–Viareggio line entered service on 15 September 2025, after construction was completed on 7 September and a week of test operations. The centerpiece is the new 1,670 m Serravalle tunnel; 12 level crossings were also eliminated. The project cost EUR 337 million (including EUR 35 million from the Tuscany Region); over 30% of Florence connections now terminate at Montecatini Terme instead of Pistoia, and a new express train pair between Florence and Viareggio runs in just over one hour. — Source: https://www.rfi.it/it/news-e-media/comunicati-stampa-e-news/2025/9/11/rfi--completato-il-raddoppio-ferroviario-tra-pistoia-e-montecati.html

On 25 January 2025 the extension of Florence's T2 tram line, known as VACS (Variante Alternativa al Centro Storico), opened, extending the route from Fortezza/Lavagnini to Piazza San Marco (San Marco Università stop) by about 2.5 km with six new stops. This connects Peretola Airport to the historic city centre in roughly 35 minutes, bringing the full line to 7.8 km. Construction started in summer 2023; the line is operated by Gest (a RATP Dev subsidiary), with about 3.4 million additional annual passengers expected. No specific investment figure was found in the available sources. — Source: https://www.railwaypro.com/wp/florence-t2-tram-extension-inaugurated/
