On 31 July 2026 Canadian Circle K parent Alimentation Couche-Tard announced it would acquire all shares in Polish convenience market leader Żabka through a voluntary tender offer by its subsidiary Circle K Polska, at PLN 32.00 ($8.48) per share — an equity value of around PLN 32.62bn (about $8.6bn). It would be the largest acquisition in the group's history. Shareholders representing about 57% in aggregate — including CVC Capital Partners and Partners Group — have given hard irrevocable undertakings to tender. Żabka operates more than 13,000 stores in Poland and Romania and has been listed on the Warsaw Stock Exchange since October 2024. The transaction is funded through fully committed debt facilities (lead arranger J.P. Morgan); the offer document still has to be reviewed by Poland's financial supervisor KNF, and completion is expected no later than December 2026. The move follows the participation talks with Seven & i Holdings that ended without result on 25 July 2026 (see the entry dated 17 July 2026). Update (26 Aug 2026): Following the KNF review, Couche-Tard launched the offer at an unchanged PLN 32 per share; the subscription period ran from 27 Aug to 25 Sep 2026, valuing Żabka at around PLN 32.6bn (Reuters via Euronext, 26 Aug 2026). Update (17.09.2026): The subscription period has been extended to 26.10.2026 with the price unchanged at PLN 32 per share; the transaction is now scheduled for 29.10.2026 and settlement for 03.11.2026 (Bankier.pl, 17.09.2026). Update (16.10.2026): The subscription period has been extended a second time, now to 02.12.2026, with the price unchanged at PLN 32 per share; the transaction is now scheduled for 07.12 and settlement for 10.12.2026 (Bankier.pl, 16.10.2026). — Sources: https://corporate.couche-tard.com/2026-07-31-ALIMENTATION-COUCHE-TARD-ANNOUNCES-AGREEMENT-TO-ACQUIRE-CONTROLLING-STAKE-IN-ZABKA-GROUP-AND-LAUNCHES-VOLUNTARY-TENDER-OFFER · https://www.bankier.pl/wiadomosc/Przyjmowanie-zapisow-w-wezwaniu-Alimentation-Couche-Tard-na-Zabka-Group-przedluzone-do-26-X-2026-r-9198973.html · https://www.bankier.pl/wiadomosc/Przyjmowanie-zapisow-w-wezwaniu-Alimentation-Couche-Tard-na-Zabka-Group-przedluzone-do-2-XII-26-9214104.html

Canadian engineering group WSP Global confirmed on 24 July 2026 that it had submitted a second unsolicited, non-binding proposal to Dutch competitor Arcadis at €51.50 per share — a premium of around 45.8% to the unaffected share price of 22 July 2026. Arcadis rejected an initial offer of €48.50 per share, made on 1 July, on 14 July, saying it did not address concerns about strategic and cultural fit, deal certainty and stakeholder interests. The Arcadis boards have so far not accepted WSP's invitations to talk, and no binding agreement exists. WSP does not state a total transaction value — the reported figure of around US$5bn is press reporting (second source: BNN Bloomberg, 24 July 2026). UPDATE (30 July 2026): The Arcadis board unanimously rejected WSP Global's second non-binding proposal of €51.50 per share as value-destroying. Arcadis points to its own new medium-term targets and argues that the roughly half-equity component of the offer would mean higher leverage and a lower dividend yield. Update (22 Sep 2026): WSP Global has abandoned its takeover pursuit and will not make a public offer for Arcadis, citing the lack of meaningful engagement with the Arcadis board on transaction terms; Arcadis remains independent (Arcadis press release, 22 Sep 2026: https://www.arcadis.com/en/news/global/2026/arcadis-comments-on-wsps-decision-to-not-proceed-with-its-offer). — Source: https://www.globenewswire.com/news-release/2026/07/24/3332870/0/en/WSP-confirms-submission-of-non-binding-indicative-expression-of-interest-to-Arcadis-N-V-to-acquire-all-issued-and-outstanding-shares-in-the-capital-of-Arcadis-N-V-for-an-offer-pric.html

Lululemon is laying off 100 part-time customer service employees (GEC – Global Experience Center) in North America. Reason: converting the contact centre from a part-time to a full-time staffing model as part of strategic efforts to strengthen the business. This is the second wave of layoffs (summer 2025: ~150 jobs cut). The company is under pressure: revenues in North America are declining, the brand has moved away from its yoga roots and comes across as more generic, and the share price has fallen 53% over the past year. Founder Chip Wilson is increasingly criticising management and launched a proxy fight to change the board; most recently he criticised the transparency scandal over the 'Get Low' leggings as an 'operational failure'. CEO Calvin McDonald is stepping down at the end of January; a successor is not yet known. — Source: https://www.businessinsider.de/wirtschaft/lululemon-entlaesst-100-mitarbeiter-und-will-sich-aus-der-krise-kaempfen/
